Closure of OPC

If the OPC haven not carried out any operation for more than a year it should declare closure. It is important because even if it is inoperative the one has to pay all the returns and regulatory compliance. There are two procedures under the MCA viz. The fast track exist and the normal procedure. The two ways to carry out OPC closures are the order of tribunal and voluntary closure.

Closure of OPC

  • Step 1: Pass a resolution with the approval of 2/3rd creditors associated with the company.
  • Step 2: Submit a notice from the board with the ROC within 10 days of the approval along with and application mentioning the audits.
  • Step 3: Publish the news of closure in the Official Gazette as well as a newspaper.
  • Step 4: Submit all the required documents, account books, and statements to the Tribunal.

  • Certificated by bank.
  • PAN Card of the company.
  • Copy of resolution.
