Change Company LLP Address

A registered office of a company is an important place as all the official communication is carried out there; even the account books should be maintained as per this address. The legal procedure to change it was incorporated in the New Companies Act 2013 and it was incorporated during 2014. There is a different procedure for state-to-state and one state-to-another state change. The registration of the new office should be done within the 3o days of changing it.

State to State Change Procedure

In the case of changing the office address from one city or village or town to another in the same state, then a special resolution is required for the same. When the change of office address is from one state to another state, then the LLP or the company has to pass a special resolution along with a confirmation of the company law board. The LLP or the company has to inform the state government about the transfer details and also need to publish an advertisement in the newspaper informing about the changing in the address. .

State to State Change Procedure

  • Step 1: Pass a resolution among the parters and get their approval.
  • Step 2: Prepare supplementary agreements with the new address.
  • Step 3: Fill from -15 and Form - 3 with the ROC within 3o days.
  • Step 4: Make changes in all the official documents.

One State to Another State Change Procedure

  • Step 1: Pass a resolution among the partners as well as the creditors and get their approval.
  • Step 2: Prepare supplementary agreements with the new address.
  • Step 3: Publish a notice 21 days before filling it with ROC
  • Step 4: Fill from -15 and Form - 3 with the ROC within 30 days.
  • Step 5: Make changes in all the official documents.
